3. Terms of Service

3.1 Scope of Engagement

All software development, cloud infrastructure, and consulting services provided by Codedeviax are governed by a mutually executed Statement of Work (SOW) specifying deliverables, timelines, pricing, and acceptance criteria. No work commences until a signed SOW and initial payment are received.

3.2 Intellectual Property

Upon complete settlement of all agreed commercial invoices, Codedeviax assigns all worldwide intellectual property rights in client-specific deliverables, source code, and design assets to the Client. Pre-existing frameworks, tools, and libraries used in development remain the property of Codedeviax, with the Client receiving a perpetual, irrevocable, royalty-free license to use such components within the deliverables.

3.3 Confidentiality

Both parties agree to maintain strict confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement for a period of five (5) years.

3.4 Limitation of Liability

Codedeviax's total aggregate liability under any engagement shall not exceed the total fees paid by the Client for the specific deliverable giving rise to the claim. Codedeviax shall not be liable for indirect, incidental, consequential, or punitive damages.

3.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, government action, pandemics, or critical infrastructure failures.
